BT has agreed to acquire TalkTalk, the UK's fourth-largest broadband provider, in a rescue deal that will save 900 jobs. This acquisition comes after TalkTalk had been seeking a buyer for several years and is expected to cost BT £400 million.
Details of the Acquisition
The deal includes TalkTalk's wholesale business, PlatformX Communications (PXC), and is structured on a debt-free basis. The Secretary for Digital, Culture, Media and Sport, Lisa Nandy, intervened on Monday, highlighting the risks to public services and vulnerable customers if TalkTalk's broadband services were disrupted. Her department is acting under Enterprise Act powers, allowing her to consider the broader public interest while awaiting a report from the Competition and Markets Authority by October 19 regarding any competition concerns.
BT stated that the acquisition will "protect continuity of service for its [TalkTalk’s] 2.5 million customers, avoiding the risk of material harm to vulnerable customers and key emergency services." The company anticipates a £400 million cash impact from the deal in its current financial year, which includes transaction and administration costs, a £60 million trading loss, and £100 million in uncollected revenue from Openreach.
